Terms of Service

Terms of Service for Video Production - Studio Chapters (Pty) Ltd.
Updated 04/08/2023All rights to unedited/RAW photo and video files/project files remain the property of Studio Chapters (Pty) Ltd and will not be shared with the client for any reason. The final video product/master will not be edited by any other party other than Studio Chapters (Pty) Ltd. If Studio Chapters (Pty) Ltd cannot perform this agreement in whole or part due to a cause beyond the control of both parties or an act of God, then Studio Chapters (Pty) Ltd will return all funds that have not already been paid to sub-contractors/external parties/locations, for the reservation of their time/locations/equipment to shoot, to the client but shall have no further liability with respect to the agreement.1. Payment
Payment will be made with a 50% deposit before Pre-Production begins. The outstanding 50% is required before the final product is handed over to the client. Studio Chapters (Pty) Ltd will reserve the time specified for the project and will not make another reservation for the specified time frame. For this reason, all deposits are non-refundable, even if the date is changed or the shoot is cancelled for any reason. The outstanding 50% is due 30 days after the last day in the shoot window, and a late fee of 10% will be applied for payments not received within 30 days. No day is reserved for the shoot without the monetary deposit. Pre- Production will not continue without the monetary deposit. No final product will be handed over without receiving outstanding payment.2. Pre-Production
The client agrees to provide all project requirements during the Pre-Production phase to allow Studio Chapters (Pty) Ltd to plan the project accordingly. Studio Chapters (Pty) Ltd will take no responsibility if the client fails to do so. Depending on production, Pre-Production will need at least 2 weeks to plan everything required. If the client requires a project done within a shorter time frame, an extra fee will be added accordingly.3. Shoot Window
Once the Pre-Production phase is complete and the Shoot Window is open, no further changes to the shoot schedule will be allowed. Studio Chapters (Pty) Ltd and its affiliates/sub-contractors operate on a carefully planned production schedule to guarantee that every aspect of the production goes as smoothly as possible. Due to this fact, Studio Chapters (Pty) Ltd reserves the right to deny any changes the client requests on any day of the shoot if the changes will compromise the timeline or schedule towards the final product.Studio Chapters (Pty) Ltd takes no responsibility for the lateness of the client or its affiliates. Studio Chapters (Pty) Ltd agrees to take full responsibility for the operation of the shoot window to make sure everything stays according to schedule. Due to the nature of video production, Studio Chapters (Pty) Ltd reserves the right to deny any overtime on the day of shoot. If overtime is required and can be accommodated by all parties involved, the shoot may continue with overtime rates for each involved party being billed accordingly. If the fault for overtime being required is on Studio Chapters (Pty) Ltd behalf, then Studio Chapters (Pty) Ltd will take the necessary steps to rectify the error to complete the project. If the fault for overtime being required is on the clients behalf, the client will need to arrange with Studio Chapters (Pty) Ltd to book another shoot window to complete the rest of the project. The client will be responsible for all costs, overtime fees, and/or delays.The client and affiliates agree to follow the basic rules and guidelines of set and will conduct themselves in a proper manner for the duration of the production. These rules and guidelines will be presented to the client during location planning of the Pre-Production phase, and may vary from location to location. The rules of set are put in place for the safety of all parties involved, as well as any conduct requirements the location might have. Failure to comply with the rules of set or proper conduct will result in an immediate termination of the production.4. Post-Production
All video files will be sent digitally and made available for the client to preview or download. No video files will be transferred using physical storage devices, unless the client provides a storage device and arranges all necessary transportation. All rights to preview files remain the property of Studio Chapters (Pty) Ltd and will not be shared publicly for any reason. Publicly shared preview files will constitute as breach of agreement to which Studio Chapters (Pty) Ltd. has the right to terminate the production.All video edits will take a maximum of 3 weeks, with the exception of larger projects which may take longer. The client is allowed a maximum of 2 edit revisions per project. Any revisions after the 2 provided will incur extra fees. All editing, colouring, motion graphics, visual effects, text, etc. will be included in the agreed upon amount in the Pre-Production phase of the project. Any of these items added in the post-production phase will incur an extra fee, depending on the complexity and time spent to add them in. Extra editing or colouring will incur extra fees. Motion graphics and visual effects will be assessed according to their specifications, and an extra fee will be added accordingly.Studio Chapters' video production and company branding is required to be made visible at both the beginning and end of the master video file. If the client does not wish to have this branding present, an extra fee will be added for the title to be removed according to the size and deliverables of the production. Raw video footage and files will be held for 90 days after the final video has been signed off and handed over to the client, after which they will be permanently deleted. An extra fee will be added if the client wishes to store the footage for a longer period.The final video / master file will not be edited in any way, colour graded, have motion graphics or filters added, or any other changes to the video file, by any other parties or by the client, without the authorisation of Studio Chapters (Pty) Ltd.5. Client Cooperation
Deliverables are contingent upon the client performing actions and cooperating with Studio Chapters (Pty) Ltd. Studio Chapters (Pty) Ltd will not be held liable if the client’s neglect leads to a compromise within the project, and shall not be responsible for tasks not completed as a result of the client’s failure to provide reasonable assistance or cooperation in a timely manner.By accepting services from Studio Chapters (Pty) Ltd, you agree to all the above-mentioned terms within this document, unless other terms are agreed upon between Studio Chapters (Pty) Ltd and the client. Other terms agreed upon must be written and signed by both parties. Otherwise, the above terms will be considered the consolidated, exclusive terms between the parties.If you have any questions or concerns please feel free to contact us.
